Terms and Conditions

  1. The full amount of S$ 795 to incorporate a Private Limited Company in Singapore must be paid by the client before the commencement of Service. The incorporation fees can be paid through bank transfer or hard currency CASH to HERU WIDJAJA REALTOR officials. The submission of the incorporation documents will be submitted to ACRA on the same working day. However, if payment is made by cheque, submission to ACRA can ONLY be done upon the clearance of cheque.
  2. This application is merely for the purpose for company name reservation. To complete the incorporation, the client must submit all verified documents as requested by HERU WIDJAJA REALTOR and as well execute all documents required for the purpose of incorporation.
  3. The time taken for approval of Company Name and Incorporation of the Company may vary as it is subjected to the approval and clearance by ACRA. Occasional delay may result due to technical issues arose.
  4. Reservation of Company Name will be expired after the time frame allowed by ACRA. Usually 60 Days upon date of approval.
  5. If for any reason, the incorporation is not executed within a period of 60 days from the date of this service agreement, the process of the incorporation will be terminated and the amount of S$ 200 will be deducted from money received as our administrative fee.
  6. Termination: If for any reason, the client chooses not to further engage HERU WIDJAJA REALTOR services; or if the clients do not wish to complete all the necessary procedures, HERU WIDJAJA REALTOR reserves the rights to terminate the service without notice, and an amount of S$ 200 will be deducted from the money received as our administrative fee.
  7. The Liability of HERU WIDJAJA REALTOR in any event shall NOT EXCEED $800 Singapore Dollars.
  8. If there is any changes to the above information after the documents have been prepared, it will be subjected to additional processing charges of $50.00 each time.

 

For the New Company Secretary of your Company to perform his duties and responsibilities, according to the Singapore Company Act, the documents stated below, must be handed over to him.

1. Register of Officers – directors, secretary, auditor (if any)
2. Register of Members or Shareholders
3. Share issued and Share Transfer Register
4. First Board Meeting of the Company
5. Resolutions passed by the Board like opening a bank account and other matters
6. Copy of Share Certificates issued
7. Memorandum & Articles of Associations
8. E-Incorporation Certificate
9. Declaration by Director (Form 45)
10. Common Seal of the Company

For local bank account opening, the following documents are required (depending on type of company setup):
^LLP Partnership Agreement is to be submitted if available
^Certification of True copies and signatories required at bank branch

  • Bank’s Standard copy of resolution or Certified Extract of Resolution
  • Certified true copy of Memorandum & Articles of Association (M&A)
  • Certified True Copies of IC/Passport of all Authorised signatories/ Directors/Partners/Office bearers
  • Certified true copy of By-Laws / Constitution
  • Certified true copy of Minutes of Meeting reflecting List of Office Bearer
  • Minimum deposit in cash or Cheque
Photocopied documents must be certified true by the following signatories All authorised signatories* must be present with their NRIC/Passport on the day of the branch appointment.

All Authorised persons and all persons who certify the submitted documents
# An office bearer refers to the chairman/president, secretary or treasurer of the committee or other governing body (or persons holding similar or equivalent positions)
* Name of the authorised signatories on the form must be the same as the NRIC/Passport. If the residential address is not stated in an identification document, please provide any bank statements or utility or Telco bills issued to a residential address as proof.

Important Note:

1. The bank’s receipt of the application form and supporting document does not bind the Bank to open an account. The Bank reserves the right to reject the application without disclosing any reason.

2. The Bank may request for additional documents depending on the set up of the company.

3. Bank fees, charges, interest rate, benefits, and minimum initial deposit may vary from bank to bank and The Bank reserves the right to amend from time to time.
